Confidential Information Non-Disclosure Agreements (NDA's)
These two model agreements, approved by the University, are provided for researchers to use when collaborations with companies or other sponsors involve the exchange or disclosure of proprietary information. These agreements ensure that the proprietary information is clearly defined, appropriately protected, and can be removed from the research results so that results may be freely published.
Models 1 requires internal routing and approval by ORAA. When our disclosure involves a University pending patent application, OTC may be the authorized signature instead of ORAA. In this instance, Model 1 could be used.
Model 2 may be signed by the University Researcher. Any modifications to this model, which may be required by a company, must be reviewed and approved by ORAA.
